34 Remuneration of auditors

The remuneration of auditors who are appointed by the members of a company must be fixed by the members by ordinary resolution or in the manner determined by the members by ordinary resolution1. If auditors are appointed by the directors, they must fix the remuneration2.

The Secretary of State may issue regulations requiring a company to disclose the terms on which a company’s auditor is appointed, remunerated or performs his duties3.
