28 Functions of secretary

The duties which the company requires the secretary to perform depend on the nature and size of the company, its business, the administrative requirements and availability of staff, and the particular terms of the secretary’s appointment1. In general, however, the secretary is expected to:

  1. 28.1

        issue notices and agenda for meetings of the directors and of the members;

  2. 28.2

        attend and take minutes of those meetings;

  3. 28.3

        file returns and copy documents with the registrar of companies;
