21.2 Calling and conduct of a directors’ meeting

The procedure for calling a directors’ meeting, and the rules relating to participation in a directors’ meeting are the same for public and private companies under the model articles1.

The directors cannot vote on any proposals at a directors’ meeting unless a quorum is participating. The only exception is that the directors may vote on a proposal to call another meeting2. The quorum for a directors’ meeting is two unless the directors decide to fix it at a higher number3. In case the total number of directors accidentally falls below the quorum specified
