105 Traded company: inclusion of members' matters on annual general meeting agenda

105.1 Members’ power to require inclusion of other matters

In certain circumstances, the shareholders of a traded company may require the company to include any matter (other than a proposed resolution) in the business to be dealt with at the next annual general meeting1. The company must include such a matter once it has received requests do so from2:

  1. 105.1.1

        members representing at least 5% of the total voting rights of all the members who have a right to vote at the meeting; or

  2. 105.1.2

        at least 100 members
