102 ‘Variation of class rights meetings’

A ‘variation of class rights meeting’ is a meeting in connection with the variation of rights attached to a class of shares1. Different rules apply to quorumand the right to demand a pollfor such meetings2. The quorum for a variation of class rights meeting depends upon whether or not the meeting is an adjourned meeting. If it is not, the quorum is two persons present holding at least one-third in nominal value of the issued shares of the class in question (excluding treasury shares)3. For an adjourned meeting,
