1 Officers

An officer of a company includes a director, manager or secretary1. A director is defined as including any person occupying the position of director, by whatever name called2. However, persons who are regularly employed in conducting the affairs of a company may be officers of the company, and for many purposes a company’s auditors are in the position of officers of the company3.
