5 Incorporated members’ clubs

A members’ club which is incorporated under the Companies Acts1 benefits from the advantages of suing and being sued as a legal entity and other advantages incidental to incorporation. The company may be limited either by shares or by guarantee2, and in either case the liability may be merely nominal in amount which may be highly advantageous. It is perhaps preferable to form a company limited by guarantee because the members of the club for the time being then constitute the members of the company without the need to allot or transfer shares.
