46 Effect of winding up of company assignor

The validity of an assignment by a company of a chose in action may be affected in the event of the winding up of the company by the statutory provisions concerning the adjustment of prior transactions, namely transactions at an undervalue1 and preferences2, the avoidance of certain floating charges3 and of dispositions of property (including things in action) made after the commencement of a compulsory winding up4.
