90 Commencement and duration

The limited liability partnership (LLP) itself will come into existence on the date specified in the certificate of registration issued by the Registrar of Companies1. The membership agreement will however usually state when the agreement itself is to take effect. It is usual to provide that the LLP shall continue until it is wound up in accordance with the provisions of the Limited Liability Partnerships Act 20002.

The agreement may also deal with the situation of any pre-incorporation contracts, usually by providing that the LLP will ratify any such agreements entered into
