76.3 Negative covenants

The positive duty imposed upon a partner to devote his whole time and attention to the partnership business may be backed up by various negative covenants, such as a promise not to engage in any other business, or hold any other office or employment, whilst he remains a member of the partnership1.

Again, these negative promises are unlikely to be appropriate in the case of a sleeping partner or someone who is only working in the partnership business part-time. Where such a partner is already involved in another business when the partnership agreement is entered
