50.2 The three main approaches to drafting articles

Apart from accommodating provisions which would previously have appeared in the company’s memorandum of association, the drafting of the company’s articles under the new regime is likely to be a very similar exercise as under the old. As before, the parties have the choice of three broad approaches. They may decide not to register any articles on incorporation, in which case the relevant model articles will form part of the company’s articles in the same manner as if the parties had registered articles in the form of those model articles1.
