222 Computer hardware and software

Where the buyer acquires some or all of the computer equipment owned by the target business, this will rank as part of the fixed or loose assets. If the hardware is being provided under an equipment leasing contract, then the parties will normally need the consent of the lessor or hire-purchase company before the seller can assign the benefit to the buyer. The same requirement applies if the business is using software under licence.

In either case, the target business will often have the benefit of a maintenance or support agreement which will be transferred
