210 Enquiries before contract

The buyer’s solicitor will often begin the information-gathering process by forwarding a detailed request for information to the seller’s solicitor. In some cases, this information may be sought through the submission of a questionnaire requesting details on a range of issues in order to enable the buyer to address these matters when drafting the purchase agreement1. The questionnaire is designed to draw attention to particular features of the deal, in particular relating to:

        the company itself, where appropriate;

  2. 210.2

        its properties;

  3. 210.3

        its existing contracts and obligations2;

  4. 210.4

        its options;
