105 Initial capital

The shareholders’ agreement should specify:

  1. 105.1

        how many shares of which class each shareholder is to apply for;

  2. 105.2

        whether payment is to be made in cash or in kind;

  3. 105.3

        if payment is to be made in cash, how much is to be paid and by what method, for example, BACS or other bank transfer; or

  4. 105.4

        if payment is to be made in kind, details of the asset or assets being provided to the company and its or their deemed value for the purposes of the share issue, with reference to the relevant subsidiary
