104 Customising a shelf company

A new corporate business may sometimes be set up by the purchase of a shelf company. If so, a considerable number of changes will usually have to be made to the shelf company before the business can begin to operate. The main changes have already been considered1 and often include the appointment of new directors, a company secretary2 and a chairman, together with various changes to the company’s constitution. Some of these changes will need to be made by the board of directors and some by a resolution of the shareholders3.
