28.3 Specifying amended clauses

The amending agreement should comply with the provisions of the original agreement for making amendments. It should make clear:

  1. (a)

        which clauses need amendment;

  2. (b)

        whether other clauses of the original agreement remain in effect; and

  3. (c)

        the date from which the amendments are to take effect.

  4. For example, the amending agreement could include the following:

‘This Amending Agreement is supplemental to the Existing Agreement. Except as expressly amended by this Amending Agreement, the Existing Agreement shall remain in full force and effect. Terms defined in the Existing Agreement shall have the same meaning in this
