197 Tax on distributions

A shareholder receiving or becoming entitled to a capital distribution in respect of shares made in the course of a winding up is treated as disposing of an interest in the shares, and, accordingly, is liable to capital gains tax1. A distribution made in respect of share capital in a winding up is not a distribution of a company for the purposes of the Corporation Tax Acts2.
