The short form and long form governing law and jurisdiction clauses1 have both been drafted with the objective of ensuring that the bank will be able to institute proceedings against the borrower in the courts of the jurisdiction or jurisdictions in which the bank considers it most likely that it will wish to institute such proceedings, while at the same time preserving the bank’s rights to take proceedings against the borrower in the courts of any other jurisdictions which may at the relevant time seem attractive to the bank, for example, because the
