In the third of our Trend Reports we provide a full picture of the UK public M&A trends in the first half of 2013, focusing on 24 firm and possible offer announcements.
The first six months of 2013 saw a decline in public M&A deal activity in the UK. Whilst a number of factors point towards an increase in activity for the remainder of the year, volatile equity markets and the need for certainty of value in a challenging deal-making environment has made many prospective bidders hesitant about pursuing an acquisition.
This Trend Report highlights current market trends, for example a continued preference for schemes of arrangement above contractual offers on larger deals, and a decline in takeover activity backed by private equity bidders.
In addition to looking at key trends, this report also features in-depth analysis of the most significant transactions, with the topics reviewed including transaction structure, the nature of consideration and bid financing, and specific contractual provisions such as matching rights and co-operation agreements. It also features breakdown charts, tables and graphs, and expert commentary from Piers Prichard Jones, a Partner at Freshfields Bruckhaus Deringer LLP.
