Drafting security over contractual rights in project and real estate finance

This article analyses some of the potential approaches to drafting security over construction contracts. For some time, English law has been unhelpfully opaque in certain areas relating to the characterisation of security assignments of contractual rights. Recent cases — notably Bexhill v Razzaq and Mailbox v Galliford Try — have put some of the unresolved issues into the spotlight and raised questions as to how to structure security over contractual rights on project and real estate finance deals.
